SALES & PAYMENT

All sales are final. Once a sales order is signed and payment isreceived, no cancellations, exchanges, or refunds shall be allowed. Full payment is required for all confirmed orders. For orders exceeding Php 200,000, a 50% down payment is required together with a post-dated check for the remaining 50%, dated 14 days prior to delivery, payable to Philux, Inc.

DELAYS & FORCE MAJEURE

Philux shall not be liable for delays beyond its control, including force majeure events such as acts of God or man, fire, flood, typhoon, earthquake, outbreak, strike, labor disputes, riot, war, or changes in laws or government regulations.

COM – CUSTOMER’S OWN MATERIAL

For COM (Customer’s Own Material), fabric swatches must be submitted within 7 days from sales order date for approval. Upon approval, full yard age must be delivered within 7 days. Philux is notliable for any issues arising from the quality, performance, or suitability of COM materials.

PRODUCT, WOOD & NATURAL MATERIALS

Furniture may be constructed using solid wood, veneers, composite materials, or mixed species for structural and design purposes. Kiln-dried wood with commercially accepted moisture content is used. Natural materials (wood, stone, mattings, organic fabrics) exhibit inherent variations in color, grain, texture, tone, and patina. Such variations, including aging and discoloration from sunlight or environmental exposure, are natural characteristics and not considered defects. Samples, photographs, and showroom displays are indicative only.

CARE & MAINTENANCE

Dust with a soft, dry cloth only. Do not use abrasives or household cleaners. Blot spills immediately. Philux is not liable for damage caused by improper care or maintenance.

PACKAGING & DELIVERY

Standard protective packaging is included. Special packaging (e.g.,crating or cartons) is subject to additional fees. Free delivery applies within Metro Manila, excluding ports, terminals, accessories, and consignments. Delivery schedules require written client confirmation. Failed deliveries despite confirmation will incur a fee.

Deliveries outside Metro Manila are handled by third-party logistics and are subject to additional charges. Philux is not liable for damage caused by third-party or client-arranged transport.All deliveries are Ex-Works (EXW) from the Philux warehouse in Bicutan, Parañaque. Risk transfers to the buyer upon release or collection.

INSPECTION & ACCEPTANCE

For made-to-order items, special packaging, or third-party deliveries, a final inspection at the factory is required prior to dispatch. If inspection is waived, a signed waiver is required. Items must be inspected immediately upon delivery. A signed delivery receipt constitutes acceptance of items as received in good order and condition.

STORAGE, RETURNS & WARRANTY

Unaccepted deliveries shall incur a storage fee of Php 75 per cubicmeter per day. Orders undelivered after six (6) weeks may becancelled, with payments forfeited. 

Rejected items must be noted on the delivery receipt. Returns afteracceptance are at the client’s expense.

Philux furniture carries a one-year warranty for factory defects only.Repairs outside warranty coverage are chargeable. Consignment itemsare strictly non-refundable, non-exchangeable, and non-warranted.

SAFETY & LIABILITY

Clients are responsible for site access, permits, and clearances. Wall anchoring of storage furniture is recommended. Philux is not responsible for installation, child-proofing, or incidents arising from improper placement or use.

CLIENT PICK-UP & MATTRESSES

Client pick-up is limited to small items and is subject to mall or site regulations. Larger items must be collected from the factory. Philux is not liable for damage during client-arranged transport. Mattress sizes follow Philux standard dimensions with an approximate one-inch allowance. Philux is not liable for third-party mattresses that do not fit.

FREE & HARMLESS CLAUSE:

Philux Inc., its officers, agents and employees, are free and harmless from all liabilities and claims for damages to any property and/or for any injury or death, arising from the use of Philux furniture or any other product manufactured or sold by the latter.

CONFIDENTIALITY:

Philux exclusively owns all intellectual and industrial property rights over its furniture, designs, drawings, trademarks, and related materials (“Intellectual Property Rights”). The

Client acknowledges that any unauthorized use, copying, or reproduction of Philux designs or drawings is a violation of these rights andmay be subject to legal action.

The Client, including its employees and representatives, agrees not to, and not allow others to:
 
• Copy, reproduce, manufacture, sell, distribute, import, or export products using Philux designs or similar designs
• Modify, alter, or reverse-engineer Philux designs to create similar or identical products 
• Use Philux trademarks or similar marks on products, packaging, marketing materials, correspondence, or online content

The Client shall not claim, transfer, or grant any rights over Philux’s Intellectual Property Rights without Philux’s prior written consent.
